1. INTRODUCTION

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and GEO Studio, operated by LIT AI Labs ("GEO Studio," "we," "us," or "our"), governing your access to and use of the GEO Studio platform, website, applications, APIs, client-side software, and related services (collectively, the "Service").

GEO Studio is an AI Visibility (Generative Engine Optimization or "GEO") software-as-a-service (SaaS) platform designed to help businesses analyze, score, and optimize how generative search engines and artificial intelligence models (such as ChatGPT, Claude, Gemini, Perplexity, and others) discover, interpret, and cite their web properties.

By registering for an account, verifying a domain, subscribing to a plan, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. ACCEPTANCE OF TERMS

Your use of the Service constitutes acceptance of these Terms, which include by reference our Privacy Policy and any additional terms, policies, or guidelines presented within the Service (collectively, the "Agreement").

If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to that organization.

3. ELIGIBILITY

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

The Service is not available to persons previously suspended or removed from the Service, or to users located in jurisdictions where the provision of the Service is prohibited by applicable law or U.S. export controls.

4. ACCOUNT REGISTRATION

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain and promptly update your account information to keep it accurate.
  • Safeguard your login credentials and restrict access to your account.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use or suspected security breach at help@geostudio.app.

We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, including if we suspect fraudulent, abusive, or illegal activity.

5. ORGANIZATION ACCOUNTS & TEAM MEMBERS

GEO Studio supports organization-based workspaces. The account owner ("Owner") creates an organization and may invite team members ("Members") with designated roles (e.g., Owner, Admin, Member). The Owner is responsible for:

  • Managing Member access, roles, and permissions.
  • Ensuring Members comply with these Terms.
  • All activity within the organization workspace, including domain verification, crawls, AI ranking checks, and SDK deployments initiated by any Member.

Members act on behalf of the organization. The Owner may remove Members or change roles at any time. We are not liable for disputes between an organization and its Members.

6. WEBSITE VERIFICATION & AUTHORIZED CRAWLING

GEO Studio crawls and analyzes websites only after domain ownership or authorized management is verified. You represent and warrant that:

  • You only submit URLs and request crawls for domains that you own or have explicit, written authorization to manage.
  • You do not use the Service to crawl, audit, or deploy changes to websites where you have no legal ownership or management authority.
  • You will not use verification mechanisms (DNS TXT records, HTML meta tags) to claim ownership of domains you do not control.

Unauthorized crawling or verification constitutes a material breach of these Terms and may result in immediate suspension or termination of your account. We reserve the right to verify ownership independently and to reject or revoke verification at any time.

7. AI RANKING CHECKS

GEO Studio performs AI ranking checks by querying third-party AI providers (including but not limited to OpenAI, Anthropic, Google, and Perplexity) on your behalf using prompts and queries you configure.

  • No Guarantees: Rankings, citations, and AI engine responses are not guaranteed. Results vary by model version, prompt phrasing, timing, geographic location, and provider-side algorithmic changes.
  • Third-Party Terms: AI ranking checks are subject to each provider's terms of service, usage policies, and rate limits. GEO Studio is not responsible for provider outages, policy changes, or degradation in response quality.
  • Data Transmission: Only the minimum necessary query parameters (prompts, keywords, instructions) are transmitted to AI providers. Your account credentials, billing information, and personal data are not attached to these requests.
  • API Keys: If you provide your own API keys for third-party AI models, you are responsible for the associated costs, usage limits, and compliance with those providers' terms. We store such keys using encryption.

8. AI RECOMMENDATIONS

GEO Studio generates recommendations, findings, and suggested fixes ("Recommendations") using algorithmic analysis and, where applicable, large language models. You acknowledge and agree that:

  • Informational Only: Recommendations are analytical estimates and projections based on data available at the time of generation. They do not constitute professional legal, financial, technical, or SEO advice.
  • No Deployment Without Review: You are solely responsible for reviewing, testing, and approving any Recommendation before deploying it to your website, whether via the optional SDK or manually.
  • No Outcome Guarantee: We do not warrant that implementing Recommendations will improve search rankings, AI citations, traffic, conversions, or any other metric.
  • Dynamic Models: Third-party AI models frequently retrain and update. A Recommendation valid at the time of generation may become outdated or counterproductive.

9. SDK DEPLOYMENT

GEO Studio offers an optional client-side JavaScript SDK ("SDK") to deploy approved technical fixes (such as JSON-LD schema, meta tags, or title adjustments) directly on your web properties.

  • User Control: The SDK only injects fixes explicitly approved by an authorized user in the GEO Studio interface. It does not apply changes without manual configuration or auto-approval rules you enable.
  • No Visitor Tracking: The SDK does not set tracking cookies, log visitor PII, or record visitor browser histories on your website.
  • Telemetry: The SDK transmits basic, non-personally identifiable telemetry (host domain, active fix IDs, execution timestamps, heartbeat signals) solely to verify that deployed adjustments are active and functioning correctly.
  • Deployment Risk: You assume all risk for SDK deployments on your site. We recommend testing in a staging environment before production deployment.

10. GOOGLE SEARCH CONSOLE INTEGRATION

You may optionally connect Google Search Console ("GSC") to import search performance data. By connecting GSC:

  • You grant GEO Studio permission to access your GSC data via Google OAuth solely for displaying clicks, impressions, CTR, position, queries, and landing pages within your dashboard.
  • Our use of GSC data complies with the Google API Services User Data Policy, including its Limited Use requirements.
  • We will not sell, transfer, or share GSC data with advertising networks, data brokers, or marketing platforms.
  • You may disconnect GSC at any time, which immediately revokes our access and deletes stored OAuth tokens from our systems.

11. ACCEPTABLE USE

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Crawl, audit, or attempt to deploy changes to websites you do not own or are not authorized to manage.
  • Reverse engineer, decompile, or attempt to extract source code, algorithms, or model weights from the Service.
  • Interfere with or disrupt the Service, its servers, or networks (including denial-of-service attacks, scraping beyond authorized scope, or credential stuffing).
  • Use the Service to generate spam, misleading content, or manipulative schemes targeting AI engines or search platforms.
  • Share, resell, or sublicense access to the Service except as permitted under your subscription plan.
  • Transmit malware, viruses, or any code designed to harm systems or data.

We may monitor usage patterns to enforce this section and may suspend or terminate access for violations without refund.

12. SUBSCRIPTION PLANS & BILLING

GEO Studio offers tiered subscription plans (Free, Basic, Advanced, Pro, Agency) with varying feature limits, crawl quotas, AI ranking checks, team seats, and SDK deployments. Current plan details and pricing are published on our Pricing page.

  • Billing Cycle: Subscriptions are billed monthly or annually in advance, as selected at checkout.
  • Payment Processing: Payments are processed securely via Razorpay. We do not store full credit/debit card numbers or bank credentials. By subscribing, you agree to Razorpay's Terms of Service.
  • Taxes: Prices exclude applicable taxes (e.g., GST in India). You are responsible for all taxes associated with your subscription.
  • Plan Changes: Upgrades take effect immediately with prorated charges. Downgrades take effect at the next billing cycle. Feature access adjusts accordingly.
  • Failed Payments: If a payment fails, we will retry per Razorpay's schedule. Continued failure may result in suspension or downgrade to the Free plan until payment succeeds.
  • Free Plan: The Free plan is provided at our discretion and may be modified or discontinued with notice. Free plan accounts inactive for 90+ days may be deleted.

13. REFUND & CANCELLATION POLICY

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until that date. No prorated refunds are provided for partial-month usage, except as required by applicable law.

Refund requests for billing errors or duplicate charges must be submitted within 14 days of the charge at help@geostudio.app. We evaluate refund requests on a case-by-case basis. Approved refunds are issued to the original payment method.

If you cancel a subscription purchased via a promotional trial or discount, you forfeit any remaining trial or promotional benefits and may not re-claim them upon resubscription.

14. INTELLECTUAL PROPERTY

GEO Studio IP. The Service, including all software, algorithms, scoring methodologies, user interfaces, designs, trademarks, logos, documentation, and content provided by us (collectively, "GEO Studio IP"), is owned by GEO Studio and protected by copyright, trademark, patent, and trade secret laws. These Terms grant you no rights to GEO Studio IP except the limited license to use the Service as set forth herein.

Feedback. If you provide suggestions, feature requests, or feedback ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and exploit the Feedback for any purpose without compensation or attribution.

15. CUSTOMER CONTENT OWNERSHIP

You retain all right, title, and interest in and to:

  • Your target websites, domain assets, source code, and underlying content.
  • All website text, code, and assets gathered during platform crawls.
  • All generated reports, audit logs, scores, action items, recommendations, and exported datasets produced by the Service for your account.

GEO Studio claims no ownership rights over your data, websites, or reports. You grant us a limited, non-exclusive, revocable, worldwide license to crawl, parse, score, store, and process your Customer Content solely to provide the Service to your workspace. This license terminates upon deletion of the relevant data or termination of your account.

16. LICENSE TO USE GEO STUDIO

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service via our web interface and APIs for your internal business purposes.
  • Deploy the optional SDK on domains you own or manage, solely to implement fixes approved in your GEO Studio workspace.
  • View, download, and share reports and exports generated for your account within your organization.

You may not: (a) copy, modify, distribute, or create derivative works of the Service; (b) reverse engineer or attempt to discover source code; (c) remove proprietary notices; (d) use the Service to build a competing product; or (e) exceed the usage limits of your subscription plan.

17. THIRD-PARTY SERVICES

The Service integrates with and relies on third-party services, including but not limited to:

  • Cloud Infrastructure: Amazon Web Services (AWS) for hosting, databases, queues, and storage.
  • Payment Processing: Razorpay for subscription billing and invoicing.
  • AI Providers: OpenAI, Anthropic, Google (Gemini), Perplexity for AI ranking checks and recommendation generation.
  • Google APIs: Google Search Console via OAuth for search analytics.

Your use of these integrations is subject to each provider's terms and policies. We are not liable for third-party service outages, data loss, policy changes, or termination of API access. We may change, add, or remove third-party providers at any time without notice.

18. SERVICE AVAILABILITY

We strive to maintain high availability but do not guarantee uninterrupted, error-free, or secure access to the Service. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide reasonable advance notice via dashboard notification or email).
  • Emergency maintenance or security patches.
  • Third-party provider outages (AWS, AI providers, Razorpay, Google APIs).
  • Force majeure events beyond our reasonable control.

We may modify, suspend, or discontinue any feature or the entire Service at any time with reasonable notice. No credits or refunds are provided for downtime unless required by a separate Service Level Agreement (SLA) for Enterprise plans.

19. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • Warranties that the Service will be uninterrupted, timely, secure, or error-free.
  • Warranties regarding the accuracy, reliability, or completeness of scores, recommendations, rankings, citations, or any output generated by the Service.
  • Warranties that the Service will meet your requirements or that defects will be corrected.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU IN FULL.

20. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • No Consequential Damages: IN NO EVENT SHALL GEO STUDIO, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Cap on Liability: OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100 (OR EQUIVALENT IN LOCAL CURRENCY).
  • No Liability for Third-Party Actions: WE ARE NOT LIABLE FOR THE ACTIONS, OMISSIONS, OR POLICIES OF THIRD-PARTY AI PROVIDERS, PAYMENT PROCESSORS, CLOUD PROVIDERS, OR GOOGLE APIS.
  • No Liability for Search/AI Outcomes: WE ARE NOT LIABLE FOR CHANGES IN SEARCH RANKINGS, AI CITATIONS, TRAFFIC, OR VISIBILITY RESULTING FROM USE OF THE SERVICE OR IMPLEMENTATION OF RECOMMENDATIONS.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless GEO Studio, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service in violation of these Terms.
  • Your Customer Content, including claims that it infringes intellectual property rights or violates laws.
  • Unauthorized crawling, verification, or SDK deployment on domains you do not own or manage.
  • Your breach of the Acceptable Use provisions (Section 11).

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting available defenses.

22. SUSPENSION & TERMINATION

By You: You may terminate your account at any time from the dashboard or by contacting support. Termination takes effect at the end of the current billing period.

By Us: We may suspend or terminate your access to the Service immediately, with or without notice, for:

  • Material breach of these Terms (including Acceptable Use and Authorized Crawling).
  • Non-payment of fees after reasonable notice.
  • Fraudulent, illegal, or harmful activity.
  • Extended inactivity (Free plan accounts inactive for 90+ days).
  • Legal or regulatory requirements.

Effect of Termination: Upon termination, your license to use the Service ends. We will delete or anonymize your account data within a reasonable period consistent with our Data Retention policy (see Privacy Policy, Section 16). Provisions that by their nature survive termination (IP ownership, disclaimers, limitations of liability, indemnification, governing law) shall survive.

23. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

If you are a consumer residing in the European Union, you may also have the benefit of mandatory consumer protection laws of your country of residence.

24. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in the Service, legal requirements, or business practices. When we make changes:

  • We will update the "Last Updated" date at the top of this page.
  • For material changes, we will provide notice via dashboard notification or email to the primary account owner at least 30 days before the changes take effect.
  • Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
  • If you do not agree to the changes, you must cancel your subscription before the effective date.
